Abstract

In the Vietnamese legal system, a partnership company is a unique type of business entity, specifically defined in the 2020 Enterprise Law. Combining general partners with unlimited liability and limited partners with limited liability, a partnership company has distinct legal characteristics, reflecting both the flexibility of the partnership relationship and raising several issues to be considered regarding its legal personality. This article analyzes the legal personality of partnership companies under Vietnamese law, compares it with legal models in some countries within the Common Law and Civil Law systems, and draws lessons to improve the legal framework in Vietnam.
