Abstract

This article analyzes the theoretical and legal basis for the handling of collateral as circulating goods in the process of production and business in Vietnam today. The study points out the results achieved by the current law such as recognizing circulating goods as collateral, allowing the mortgagor to sell, replace, exchange assets in the course of business and gradually improving the mechanism for registering secured transactions. However, there are still many problems in practice in terms of asset identification, cash flow control, alternative assets and payment priority. From there, this article proposes solutions to improve the law.
