Abstract

Commercial contracts are essential legal instruments in the daily business operations of enterprises. For small and medium-sized enterprises, the quality of contract formation and performance directly affects their ability to mitigate risks and protect their legitimate interests in the event of disputes. This article analyzes the current legal provisions governing commercial contracts and identifies inconsistencies between the 2005 Commercial Law and the 2015 Civil Code. It also examines contract implementation practices at 35 small and medium-sized enterprises in Ward 2, Bảo Lộc, Lâm Đồng Province, from 2023 to 2025. Based on the findings, the article proposes recommendations for improving the relevant legal framework and enhancing the effectiveness of contract implementation among small and medium-sized enterprises.
