Abstract

The doctrine of anticipatory breach of contract was first found in England and quickly spread to many countries in the Common Law system. In the United States, this doctrine was recognized and codified in the Uniform Commercial Code 2006, however, US lawmakers made additional necessary adjustments to conform to national law. This article analyses US law on anticipatory breach in order to provide lessons for improving Vietnamese law on this type of breach.
