Abstract

This article examines business rehabilitation under Vietnam’s Law on Rehabilitation and Bankruptcy No. 142/2025/QH15 based on enterprise market-exit data for 2025 and the first eight months of 2026. In 2025, 227.2 thousand enterprises exited the market: 114.4 thousand temporarily suspended operations, 76.9 thousand were awaiting dissolution, and 35.9 thousand completed dissolution procedures. In the first quarter of 2026, 91.8 thousand enterprises exited the market, of which 90.3% had registered capital of less than VND 10 billion. The legal analysis focuses on Articles 5, 24–35, and 68–69, particularly the six-month insolvency threshold, filing requirements, the stay of individual enforcement, creditor voting, and simplified rehabilitation procedures. The article compares these statutory thresholds and mechanisms with the size and difficulties of enterprises actually exiting the market.
