Abstract
The Board of Directors and the Director/General Director are two central actors in the governance structure of a joint-stock company and play crucial roles in its managerial and operational effectiveness. Although the 2020 Law on Enterprises has expanded corporate autonomy in organizing governance structures, its practical implementation has revealed several shortcomings that create potential legal risks and undermine the effective performance of these actors. Based on an analysis of the current legal framework, this article proposes several recommendations for improving the relevant legal provisions, enhancing corporate governance, strengthening transparency, and protecting the legitimate rights and interests of companies and shareholders.
