Abstract
Interlocking directorates are a common phenomenon worldwide, where an individual or a group of individuals simultaneously hold positions on the boards of multiple companies. This model can foster cooperation and experience sharing but also poses risks such as market manipulation, conflicts of interest, and reduced competition. Currently, Vietnamese law lacks clear regulations to control this phenomenon in competing businesses. The 2020 Law on Enterprises and the 2018 Law on Competition do not provide specific mechanisms to limit individuals from holding key positions in multiple related companies. Meanwhile, countries like the United States and Chile have implemented strict control measures. Therefore, studying international experiences and proposing legal reforms in Vietnam is essential to ensure market transparency and stability.
